Terms of Service

1. Acceptance of Terms

By accessing or using the AIMICI Platform (the "Service"), operated by AIMICI ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

If you do not agree with any part of these Terms, you must not access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of those changes.

2. Description of Service

The AIMICI Platform provides AI-powered guidance, training, and tooling to help production teams, VFX studios, and creative businesses adopt artificial intelligence responsibly at scale. The Service includes an AI chat assistant, learning resources, and workflow tools designed to reduce guesswork and legal risk when integrating AI into production workflows.

3. Account Registration

To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are inactive for an extended period.

4. Plans and Payment

The Service offers various membership tiers, including a free plan and paid plans. Paid plans are purchased as one-time access passes for a fixed 30-day period through our payment processor, Stripe. There are no automatic renewals or recurring charges. By purchasing a paid plan, you authorise us to charge the applicable fee to your chosen payment method.

  • Each plan includes specific usage limits, including token budgets, conversation limits, and rate limits per plan period
  • Your plan period begins on the date of purchase and expires after 30 days
  • Exceeding your plan's usage limits may result in temporary restrictions on Service access until the plan period ends
  • We reserve the right to modify pricing and plan features with reasonable notice

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service in any way that violates any applicable local, national, or international law or regulation
  • Attempt to gain unauthorised access to, interfere with, damage, or disrupt any parts of the Service, its servers, or any connected systems
  • Use the Service to transmit any malicious code, viruses, or harmful data
  • Use automated systems (bots, scrapers, or similar) to access the Service without our prior written consent
  • Circumvent or attempt to circumvent any usage limits, rate limiting, or access restrictions
  • Impersonate or attempt to impersonate another user, person, or entity
  • Use the AI assistant to generate content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Resell, sublicense, or redistribute access to the Service without our written permission

6. AI-Generated Content

The Service provides AI-generated responses and guidance. You acknowledge and agree that:

  • AI-generated content is provided for informational and guidance purposes only and should not be treated as professional legal, financial, or technical advice
  • AI outputs may contain inaccuracies, errors, or outdated information — you are responsible for independently verifying any AI-generated content before relying on it
  • We do not guarantee the accuracy, completeness, or reliability of any AI-generated responses
  • Your use of AI-generated content is at your own risk and discretion
  • Chat conversations may be processed by third-party AI model providers (OpenAI and Anthropic) in accordance with our Privacy Policy

7. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of AIMICI and its licensors. The Service is protected by copyright, trademark, and other laws of the United Kingdom and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of any content you submit through the Service, including chat messages and project information. By submitting content, you grant us a limited licence to use, process, and store that content solely for the purpose of providing and improving the Service.

8. Cancellation and Termination

You may request a refund or cancellation in accordance with our Cancellation & Refunds Policy. As paid plans are one-time purchases, there is no ongoing subscription to cancel — your access simply expires at the end of the 30-day plan period. We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to other users, us, or third parties.

Upon termination, your right to use the Service will cease immediately. We may delete your account data in accordance with our Privacy Policy.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, AIMICI and its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to, use of, or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any AI-generated content obtained from the Service
  • Unauthorised access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising out of or relating to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless AIMICI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Third-Party Services

The Service may contain links to or integrations with third-party websites or services that are not owned or controlled by AIMICI. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by the use of any such third-party content, goods, or services.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AIMICI regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
